Addryn L.L.C. d/b/a Impact Bridge Global
Effective Date: March 14, 2026

1. Acceptance of Terms

By accessing or using the platform located at impactbridge.io (the “Platform”), operated by Addryn L.L.C., a limited liability company registered in the Republic of Croatia (TAX ID: HR28954772058), doing business as Impact Bridge Global (“IBG,” “Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you must not access or use the Platform.

We may modify these Terms at any time. Changes become effective when posted on the Platform. Where changes are material, we may require you to re‑accept the updated Terms. Your continued use of the Platform constitutes acceptance of the updated Terms.

2. Nature of the Platform

Impact Bridge Global is a trade name of Addryn L.L.C. It is a private, invitation‑only humanitarian platform supporting indigenous‑led environmental, cultural, and community upliftment initiatives.

The Platform is not:

• a financial service
• an investment platform
• a trading system
• a crowdfunding marketplace
• a profit‑seeking venture
• a bank, payment processor, or money service business
• an investment platform that offers financial returns or outputs of any kind

The Platform is an informational and administrative interface. It does not:

• process payments
• execute financial transactions
• hold funds
• serve as a marketplace

All contributions occur externally, through approved channels: bank transfer in EURO (€), USDT (BEP20) cryptocurrency transfer, money transfer agencies (e.g., Western Union, MoneyGram), transfers to IBG’s designated legal trust account for large EURO contributions, or other regionally approved methods. Contribution methods, IU values, fee responsibilities, and confirmation procedures are detailed in the Partner Agreement.

IBG does not offer, promise, or imply financial returns, outputs, dividends, interest, or income of any kind. All contributions are voluntary, non‑commercial, non‑refundable, and irrevocable.

Contributors are responsible for all transfer‑related fees, including bank charges, wire fees, foreign exchange costs, gas fees, and agency fees. Impact Units are allocated based on the net amount received.

All contributions are final. No refunds, reversals, or chargebacks will be issued.

Any cultural acknowledgments issued by indigenous councils are discretionary, symbolic, and non‑financial. They are not guaranteed and do not constitute returns, income, or compensation.

Cultural acknowledgments may be issued for any form of participation in or support of IBG initiatives, at the sole discretion of the issuing indigenous council or cultural custodian. Partners who share referral links may receive symbolic ambassador acknowledgments for activity within their referral network, including new registrations or contributions by persons they have introduced. All acknowledgments are discretionary, non-financial, and subject to the conditions in the Partner Agreement. Ambassadors must not use financial language, promise financial outcomes, or pressure individuals into contributing.

3. Eligibility and Access

To use the Platform, you must:

• be at least 18 years old or the age of legal majority in your jurisdiction
• have the legal capacity to enter into a binding agreement
• have been invited through a valid referral from an existing participant

The Platform operates as a private, invitation‑only community.

We may deny or revoke access at our sole discretion.

4. Account Registration

You agree to:

• provide accurate, current, and complete information
• keep your information updated
• maintain the confidentiality of your login credentials
• accept responsibility for all activity under your account
• notify us immediately at support@impactbridge.io of any unauthorized use

Each individual may maintain only one account.

Duplicate or fraudulent accounts may be terminated without notice.

We are not liable for losses arising from unauthorized account use.

5. Additional Agreements

Certain features require acceptance of additional agreements, including the Partner Agreement. These agreements form part of the legal framework governing your use of the Platform.

If there is a conflict between these Terms and an additional agreement, the additional agreement prevails.

6. Prohibited Conduct

You agree not to:

• provide false or misleading information
• use the Platform unlawfully
• misrepresent the nature or purpose of the Platform
• attempt unauthorized access to the Platform or IBG systems
• interfere with Platform operations
• use bots, scrapers, or automated tools
• impersonate any person or entity
• share your login credentials
• create multiple or unauthorized accounts
• create or distribute unauthorized materials
• engage in fraudulent or harmful activity
• reverse‑engineer or attempt to extract source code
• circumvent security measures

We may determine, at our discretion, whether conduct is harmful.

7. Intellectual Property

All content, design, code, trademarks, logos, and materials on the Platform are the property of Addryn L.L.C. or its licensors.

You may not copy, reproduce, distribute, modify, or create derivative works without written consent, except where expressly permitted.

8. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, including:

• merchantability
• fitness for a particular purpose
• accuracy
• non‑infringement

We do not warrant that the Platform will be:

• uninterrupted
• error‑free
• secure
• free of viruses or harmful components

We do not warrant the accuracy or completeness of information displayed on the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, IBG, Addryn L.L.C., and associated parties are not liable for:

• indirect, incidental, special, or consequential damages
• loss of profits, revenue, data, goodwill, or opportunity
• reliance on Platform information
• actions of other users or third parties

IBG’s total aggregate liability shall not exceed EUR 100.

10. Indemnification

You agree to indemnify and hold harmless Addryn L.L.C. and associated parties from claims arising out of:

• your use of the Platform
• your violation of these Terms
• your misrepresentations
• your violation of law or third‑party rights
• content you provide

This obligation survives termination.

11. Account Suspension and Termination

We may suspend or terminate your account at any time, with or without notice, including for:

• violations of these Terms
• misrepresentation of the Platform
• fraudulent or harmful conduct
• law enforcement requests
• extended inactivity
• any reason at our discretion

You may request account closure at any time.

Certain provisions survive termination, including disclaimers, liability limits, indemnification, and intellectual property protections.

12. Governing Law

These Terms are governed by the laws of the Republic of Croatia, without regard to conflict‑of‑law principles.

13. Dispute Resolution

Disputes shall first be addressed through good‑faith negotiation.

If unresolved after 30 days, disputes shall be submitted to binding arbitration in Croatia, conducted in English.

You waive:

• jury trial rights
• class action participation

14. Severability

If any provision is invalid or unenforceable, the remaining provisions remain in effect.

Invalid provisions will be modified minimally to preserve intent.

15. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements, constitute the entire agreement between you and IBG.

16. No Waiver

Failure to enforce any right does not constitute a waiver.

Waivers must be in writing and signed by an authorized representative.
